Terms of Service

Welcome to Northbound Labs (“we”, “us”, “our”). These Terms of Service (“Terms”) govern your use of the Digital Product Idea Validator (“the Service”), including the website at productidea.thenorthboundlabs.com and the AI-generated reports we produce for you. By accessing the Service or submitting any information through it, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

The Digital Product Idea Validator is a free, AI-powered tool offered by Northbound Labs. It has two starting points:

  • Help me think of an idea: you answer a few questions about your skills, interests, and profession, and the Service surfaces digital product niches and ideas tied to that context.
  • Validate my idea: you describe a digital product idea you already have, and the Service returns a niche read and validation verdict.

Both paths converge on a Market Assessment report delivered to your inbox after you provide your name and email address. The Service is currently provided at no charge. We may modify, suspend, or discontinue the Service, in whole or in part, at any time and without notice.

2. Eligibility & Account-Free Use

The Service is intended for users aged 13 or older. By using it, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms.

You do not need to create an account. To receive your Market Assessment report, you provide your first name, optional last name, and email address. Your contact information is handled in accordance with our Privacy Policy.

3. AI-Generated Content

Reports, niche suggestions, and any other outputs produced by the Service are AI-generated research. They are not financial, business, legal, tax, accounting, or professional advice of any kind. You should not act on any specific claim, statistic, competitor name, price, URL, or recommendation in an output without verifying it through your own due diligence.

AI-generated content can be inaccurate, incomplete, outdated, or fabricated. Specifically, you acknowledge that:

  • Earning ranges, time-to-first-sale estimates, and other quantitative figures are directional only and are not guarantees of any outcome.
  • Competitor names, prices, product descriptions, and URLs may be wrong, out of date, or refer to businesses that have since closed, pivoted, or changed pricing.
  • Market signals, trend claims, and audience size estimates may not reflect current conditions.
  • We make no representation or warranty about the accuracy, completeness, reliability, or fitness for any particular purpose of the content the Service produces.

You are solely responsible for any decision you make based on AI-generated content, and you assume all risk associated with relying on it. The Service is a starting point for your research, not a substitute for it.

4. Acceptable Use

When using the Service, you agree NOT to:

  • Circumvent, disable, or otherwise interfere with rate limits, security measures, or access controls.
  • Use automated systems, bots, scrapers, or other non-human-driven means to access the Service or submit inputs.
  • Submit confidential, proprietary, or personally identifying information about third parties as part of your form inputs.
  • Submit content that is unlawful, defamatory, harassing, infringing, or that violates the rights of any third party.
  • Attempt to extract, reverse engineer, or reproduce the underlying prompts, frameworks, or system instructions used by the Service.
  • Use Service outputs to create misleading, fraudulent, or deceptive marketing materials, or to misrepresent the outputs as anything other than AI-generated research.
  • Use the Service to develop, train, or improve any competing AI model, dataset, or research product.

We reserve the right to revoke access, refuse service, or take other appropriate action against any user who violates these restrictions.

5. Intellectual Property

The Service itself, including the website, branding, design, source code, prompts, and underlying frameworks, is owned by Northbound Labs or licensed to us, and is protected by copyright, trademark, and other intellectual-property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Market Assessment report and any other AI-generated outputs we produce for you for your own personal or internal business research, planning, and decision-making.

You may not:

  • Resell, sublicense, or redistribute the reports or other outputs as a standalone product.
  • Republish the reports publicly without crediting Northbound Labs as the source.
  • Use the reports to create competing products, services, or tools.

6. Marketing & Communications

By submitting your email address through the Service, you consent to receive:

  • Transactional emails containing your Market Assessment report and related delivery information.
  • Occasional marketing emails about Northbound Labs products, educational content, and promotions.

You may unsubscribe from marketing emails at any time using the unsubscribe link included in those emails. Transactional report-delivery emails are sent regardless of marketing preferences when you generate a report.

7. No Warranty

THE SERVICE AND ALL CONTENT GENERATED BY IT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We make no warranties or representations about the Service or about any AI-generated output.

Without limiting the foregoing, to the fullest extent permitted by applicable law, we expressly disclaim:

  • All implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • Any warranty that the Service will be uninterrupted, timely, error-free, secure, or free of harmful components.
  • Any warranty about the accuracy, completeness, currency, reliability, or fitness for any particular purpose of any AI-generated content.
  • Any warranty arising from course of dealing or usage of trade.

The Service is provided for informational and educational purposes only. We make no guarantee, promise, or assurance about specific results, outcomes, income, audience growth, lead generation, conversion rates, or business performance. Results vary based on many factors, including but not limited to your effort, experience, market conditions, execution, consistency, and external platforms beyond our control. You acknowledge and agree that you are solely responsible for your actions, decisions, and results arising from your use of the Service.

8. No Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NORTHBOUND LABS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY AI-GENERATED CONTENT.

This includes, without limitation:

  • Direct, indirect, incidental, consequential, special, exemplary, or punitive damages.
  • Lost profits, lost revenue, lost data, lost business opportunities, lost goodwill, or business interruption.
  • Damages arising from any business, financial, marketing, or strategic decision you make in reliance on AI-generated content, regardless of whether such content is accurate, complete, or current.
  • Damages arising from inaccuracies, errors, omissions, or fabrications in AI-generated content, including incorrect competitor names, prices, URLs, statistics, or market signals.
  • Damages arising from interruptions, downtime, data loss, or unavailability of the Service.

We assume no liability for any AI-generated output or for any decision you make in reliance on it. The Service is provided to you free of charge and on a use-at-your-own-risk basis. The foregoing exclusions and limitations apply regardless of the legal theory asserted (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties. In those jurisdictions, our liability and the disclaimers above are limited only to the extent that such limitations are legally required, and the remainder of these Terms continue to apply to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Northbound Labs and its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of the Service or any AI-generated output.
  • Your breach of these Terms.
  • Your violation of any law or any third-party right, including any intellectual-property right, privacy right, or contractual right.
  • Any business decision you make in reliance on AI-generated content.

10. Third-Party Services

The Service relies on third-party providers to function, including AI model inference, customer-relationship and email delivery, cloud hosting, file storage, rate limiting, and error monitoring. These providers operate under their own terms and privacy practices. A current list of providers is available on request at support@thenorthboundlabs.com.

11. Modifications to the Service

We may modify, update, suspend, or discontinue the Service or any portion of it at any time and without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

12. Changes to These Terms

We may update these Terms from time to time. The current version always sits at this URL with a revised effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms. If the changes are material, we will use reasonable efforts to flag them at the top of the page.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of those courts.

14. Severability & Entire Agreement

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Northbound Labs regarding the Service.
